Globally LLC – This portal is operated by Globally LLC for use by customers and partners of Living Business.

Please take a few minutes to carefully review the following terms and conditions. By using this Portal, customer/partner agrees to be bound by these terms and conditions, as they may be modified and placed on this Portal at any time by Living Business. If the customer/partner does not agree with any of these terms and conditions, do not use the Portal. Living Business reserves the right to seek all remedies available by law and equity in the event of a violation of these terms and conditions.

Living Business may update, modify, add or remove the Terms and Conditions at any time and with or without notice. Please check this page from time to time to make notice of any changes Living Business makes as they are binding to you. Living Business may also change, terminate, suspend or discontinue any aspect of the Portal, including the availability of any features on the Portal with or without notice. Please check periodically for changes. Customer/partner’s continued use of the Portal following the posting of such changes constitutes their agreement to be bound by the changes. Customer/partner agrees that Living Business shall not be liable to customer/partner or to any third party for any modification, suspension or discontinuation of the Portal or Terms of Use.

Living Business publishes a wider variety of articles sources from partners, and third party news sites and press releases. Living Business does not endorse any content or any opinion, recommendation, or advice expressed therein, and Living Business expressly disclaims any and all liability in connection with content.

As a Living Business account holder customer/partner may submit content. Customer/partner understands that whether or not content is published, Living Business does not guarantee any confidentiality with respect to content.

Customer/partner retains all of their ownership rights in their content, but customer/partner is required to grant limited license rights to Living Business and other users of the platform.

Customer/partner represents and warrants that they have (and will continue to have during the use of the Portal) all necessary licenses, rights, consents, and permissions which are required to enable Living Business to use their content for the purposes of the provision of the portal by Living Business, and otherwise to use their content in the manner contemplated by the Portal and these Terms.

Customer/partner agrees that they will not post or upload any content which contains material which it is unlawful for customer/partner to possess in the country in which they are resident, or which it would be unlawful for Living Business to use or possess in connection with the provision of the Portal.

Customer/partner agrees that the content they submit to the Portal will not contain any third party copyright material, or material that is subject to other third party proprietary rights (including rights of privacy or rights of publicity), unless customer/partner has a formal license or permission from the rightful owner, or are otherwise legally entitled, to post the material in question and to grant Living Business the license referred to below.

License – When you upload or post Content to Living Business you grant:
to Globally LLC, a worldwide, non-exclusive, royalty-free, license (without the right to sub-license) to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with the provision of the Portal and Living Business newsletter;
to each customer of the platform, a worldwide, non-exclusive, royalty-free license to access your content through the portal.

The above licenses granted by customer/partner in content terminate when customer/partner removes or deletes their content from the Portal. The above licenses granted by customer/partner in textual comments they submit as content are perpetual and irrevocable, but are otherwise without prejudice to their ownership rights, which are retained by customer/partner as set out in paragraph – CONTENT.

With the exception of content submitted to the portal by customer/partner, all other content on the platform is either owned by or licensed to Living Business, and is subject to copyright, trade mark rights, and other intellectual property rights of Living Business or Living Business’s licensors. Any third party trade or service marks present on content not uploaded or posted by customer/partner are trade or service marks of their respective owners. Such content may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purpose whatsoever without the prior written consent of Living Business or, where applicable, Living Business’s licensors. Living Business and its licensors reserve all rights not expressly granted in and to their content.

Restrictions on use – Customer/Partner shall not, directly or indirectly, (i) license, sell, lease, assign or otherwise transfer content on the Portal or Portal software, (ii) alter or permit a third party to alter any part of the content, Portal or Portal software; (iii) access or use any content, information or materials of any third party available at the Portal; (iv) use or permit the use of the Portal, content or Portal software except for the customer/partner’s access to their own customer information; (v) distribute copies of information, materials or content found on the Portal in any form (including by e-mail or other electronic means), without prior written permission, or (vi) disassemble, decompile, reverse engineer or otherwise attempt to derive source code or other trade secrets from the Portal software.

Customer/Partner Data – Customer/Partner agrees that they are solely responsible for the accuracy of any and all information input by Customer/Partner or provided to Living Business for use in conjunction with the Portal (the “data”). Data shall not include anything that actually or potentially infringes or misappropriates the copyright, trade secret, trademark or other intellectual property right of any third party, violates the privacy rights of any third party, or contains anything that is obscene, defamatory, harassing, offensive or malicious.

Account and Passwords – Customer/Partner is responsible for all use of their account and maintaining the confidentiality of all passwords and information. Sharing of passwords and account information is at Customer/Partner’s own risk. Customer/Partner is responsible for the security of all data saved to the Portal.

Privacy Policy and Community Guidelines
The content of our Portal is protected by copyright, trademarks, database right and other intellectual property rights. Customer/Partner is allowed to retrieve and display the content of the Site on a computer screen, store such content in electronic form on disk (but not any server or other storage device connected to a network) or print one copy of such content for their own personal, non-commercial use, provided they keep intact all and any copyright and proprietary notices. Customer/Partner may not otherwise reproduce, modify, copy or distribute or use for commercial purposes any of the materials or content on the Portal without written permission from us.

Living Business has taken appropriate measures to ensure that the content contained on the Portal is accurate. However Living Business does not warrant and makes no representation that content provided on the Portal is accurate, appropriate or applicable for use in locations outside of the United Arab Emirates.

Living Business further disclaims and does not represent or warrant the following:
That the Portal will operate without interruption, errors defects, bugs, viruses or other harmful components or that any defects appearing on the Portal will be corrected.
Liability or responsibility for damage, theft, loss, injury or claim of liability of any kind based on or resulting from any content contained on the Portal or as a result of unauthorized access to, damage to or interception of any data or communications sent to or from, scraped from or stored on the Portal.

Liability or responsibility to any person, firm or corporation for any loss, damage, injury, claim or liability of any kind or character based on or resulting from any data or content contained on the Portal or the accidental release of such data or content.

Exclusion of Warranties
Nothing in the Terms shall affect any statutory rights that customer/partner is always entitled to as a customer/partner and that customer/partner cannot contractually agree to alter or waive.

In particular Living Business does not represent or warrant to customer/partner that:
Their use of the Portal will meet their requirements;

Their use of the Portal will be uninterrupted, timely, secure or free from error;
any information obtained by customer/partner as a result of their use of the Portal will be accurate or reliable;

defects in the operation or functionality of any software provided to customer/partner as part of the platform will be corrected;

No conditions, warranties or other terms (including any implied terms as to satisfactory quality, fitness for purpose or conformance with description) apply to the Portal except to the extent that they are expressly set out in the Terms.

Limitation of Liability
Nothing in these Terms shall exclude or limit Living Business’s liability for losses, which may not be lawfully excluded or limited by applicable law.

Living Business shall not be liable to customer/partner for:
any indirect or consequential losses which may be incurred by customer/partner. This shall include; (i) any loss of profit (whether incurred directly or indirectly); (ii) any loss of goodwill or business reputation; (iii) any loss of opportunity; or (iv) any loss of data suffered by customer/partner;

any loss or damage which may be incurred by customer/partner as a result of:
any reliance placed by customer/partner on the completeness, accuracy or existence of any advertising, or as a result of any relationship or transaction between customer/partner and any advertiser or sponsor whose advertising appears on the Portal;

any changes which Living Business might make to the Portal, or for any permanent or temporary cessation in the provision of the Platform (or any features within the Platform);

the deletion of, corruption of, or failure to store, any content and other communications data maintained or transmitted by or through customer/partner’s use of the platform;

Customer/partner’s failure to provide Living Business with accurate account information;

Customer/partner’s failure to keep your password or Living Business account details secure and confidential.

The limitations on Living Business’s liability to customer/partner in the paragraph above shall apply whether or not Globally LLC has been advised of or should have been aware of the possibility of any such losses arising.

Customer/partner may link to our Portal, provided they do so in a way that is fair, legal and does not damage our reputation or take advantage of it.

Customer/partner must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
Customer/partner must not establish a link to our Site in any website that is not owned by customer/partner.

Living Business reserves the right to withdraw linking permission without notice.
Living Business has no control over website links included in the platform and therefore Living Business is not responsible for content, offers or anything else outside the portal.

These Terms are subject to the Federal laws of the United Arab Emirates and the Emirate of Dubai, UAE. Living Business will try to solve any disagreements quickly and efficiently. If customer/partner is not happy with the way Living Business deals with any disagreement and they want to initiate court proceedings, customer/partner must do so within Dubai, United Arab Emirates.
